Legal Advisor CIB Legal Zurich – BNP Paribas

This position will be based in Zurich.

Mission and objectives 

The sole purpose of the job description is to describe the main responsibilities required of the position. The Legal Advisor is expected to have flexibility and availability to perform any other tasks related to his or her function. 

The Legal Advisor mainly advises the different businesses or functions in the areas of banking, financial, corporate and commercial law. He/She is expected to advise on legal questions raised by the relevant businesses or functions. He/She determines and suggests the most appropriate legal solutions to meet the objectives to be achieved in compliance with the applicable laws and regulations and within the framework of the Bank’s procedures and regulations.

The Legal Advisor provides legal support to the various businesses and functions, in particular CIB, if necessary, in collaboration with other functions and other members of Legal.

Under the supervision of the Head of Legal for CIB, Zurich Branch, the Legal Advisor, as a technical expert, is:

• one of the referenced lawyers within Legal to advise on all legal questions relating to the CIB businesses (whether in Zurich or Geneva) and in particular Debt Capital Market and Global Banking
• to assist by way of legal advice and legal opinions representatives of the CIB businesses (whether based in Zurich or Geneva), including dedicated functions, in the analysis of the situation/facts and decisions-making in connection with the management of the bank and the conduct of business
• make available to CIB businesses (whether based in Zurich or Geneva) and dedicated functions, standardized or specific documents or templates, including internal legal opinions, in order to secure the contractual relations between the bank and its clients and/or partners
• draft and/or review agreements and other contractual documents for the various CIB businesses in Switzerland, whether in Zurich and Geneva
• provide legal advice with the view of negotiating the best possible contractual terms and conditions
• negotiate legal documentation relating to bonds issuances with issuers, also external legal advisors, as well as managing the related transactional steps, including the handling of dedicated tools
• interact with the SIX Swiss Exchange, SIX Exchange Regulations and/or SIX SIS when submitting listing and/or other relevant requests or submissions
• contribute to the development and drafting of Swiss law standardized contracts and templates, including appropriate guidelines and/or documentation and participate to the updating of such guidelines and documentation   
• provide legal support in relation to the various on-going projects managed by the various teams within CIB in Zurich and Geneva (including dedicated functions) and more generally the Bank, including its General Management
• contribute to the Bank’s legal and regulatory watch whether under Swiss law or any other foreign law which may impact CIB and more generally the Bank, whether in Zurich or Geneva, including but not limited to contributing to the updating of the legal and regulatory watch table – drafting of legal positions, amending procedures and organising internal trainings
• contribute to a good representation of the Bank externally, in particular by writing reference and/or other letters to clients, third parties, authorities, etc. 
• instruct external counsels in accordance with the Bank’s procedures
• contribute to the drafting of the Bank’s procedures and the implementation of the Bank’s procedures and guidelines in accordance with the Group prudential requirements and regulations
• contribute to the training process offered by Legal, in particular for CIB activities
• ensure the follow-up and quality (complete and timely) of responses provided to authorities in the context of the files entrusted (criminal, administrative procedures.)
• contribute to Group and local reporting, archiving and (administrative) management of files

PROFILE

• Holder of a Master’s Degree in Law 
• Swiss Bar exam
• Knowledge of Swiss Law
• Strong interest in the area of Corporate Banking, Capital Markets and Structured Finance
• Good theoretical knowledge of Corporate & Institutional Banking activities
• Minimum 2 years of work experience (internship) with a law firm or a bank
• Oral and written communication skills
• Analytical skills

• Self-motivation, strong team working with the ability to build and maintain good relationships with different contact persons on all hierarchical levels
• Discretion and respect of confidentiality
• Ability to prioritise workload, sense of urgency and attention to detail, work precisely, fast and well organised under time pressure

• Advanced user of Microsoft Office
• Fluency in German, English and good knowledge in French
